| Floyd Warkol, Chairman of the Board and Chief Executive
Officer, began his career in 1970 as a project manager
for a KSW predecessor company, followed by stints as
a Vice President Estimating, Vice President Project Management
and Executive Vice President. He founded his own mechanical
contracting company, which was acquired in 1985 by JWP
Inc., a NYSE company. At JWP, Mr. Warkol helped acquire
over two dozen mechanical contractors throughout the
United States and served on the Board of Directors of
JWP’s Mechanical/Electrical Group, where he oversaw
1.7 billion dollars in construction throughout the United
States. His is a past President of the American Subcontractors
Association, an organization of 5,000 contractors throughout
the country and a past President of the Subcontractors
Trade Association of New York. |

| Mr. Warkol is active in several charities, including
the Jewish National Fund, Israel Bonds, the Life Organization
and the Queens Council of the Boy Scouts. |

| Vincent Terraferma, a licensed Professional Engineer,
is Chief Operating Officer of KSW. He began his career
as a Project Manager for a KSW predecessor company managing
large projects such as Starrett City. He then worked
as the Chief Estimator for KSW, in charge of preparing
bids on all of the Company’s major projects, and
negotiating contracts with subcontractors and suppliers.
Vincent also served as Project Executive on several of
KSW’s large Trade Management hospital projects.
In 2002, he became Executive Vice President and Chief
Operating Officer. He is a past President of the American
Subcontractors Association. |

| Mr. Terraferma is active in several charities, including
the Queens Council of the Boy Scouts. |

| Al Schroeder, Vice President and Chief Engineer, began
his career as an Engineer at two of New York City’s
leading engineering firms. After working as a Vice President
of a large general contractor on projects such as the
JFK Airport Mail Facility, he joined a KSW predecessor
company in 1981 and has continued to provide value engineering
services to design professionals and contractors who
work with KSW. |

| James Oliviero is General Counsel of KSW. He joined
the Company in January 1994. Prior to that, he was a
Partner in a leading New York City construction law firm.
He holds a J.D. degree from St. John’s Law School,
and is admitted to the Courts of the State of New York
and the Second Circuit Court of Appeals. |

| Richard Lucas has been Chief Financial Officer of the
Company since 2002. Prior to that he was employed by
the Company’s outside auditor, Marden, Harrison & Kreuter,
C.P.A.’s P.C. Richard is a Certified Public Accountant
in the State of New York. |
